THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN KA ENERGETICS AND YOU. OUR SITE AND SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

16.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND KA ENERGETICS, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS TO OUR ABILITY TO MAKE OUR SITE AND SERVICES AVAILABLE TO YOU.

17. INDEMNIFICATION

17.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless KA Energetics, its owners, directors, officers, employees, practitioners, agents, affiliates, partners, suppliers, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or related to:

Your violation of these Terms
Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
Your violation of any applicable law, rule, or regulation
Any content you submit, post, or transmit through our Site or Services

17.2 Our Rights

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with our defense of such claim. You will not settle any claim without our prior written consent.

18. DISPUTE RESOLUTION & GOVERNING LAW

18.1 Governing Law

These Terms and any dispute arising from or related to these Terms or your use of our Site or Services shall be governed by and construed in accordance with the laws of the jurisdiction in which you reside, without regard to conflict of law principles. If you reside in a jurisdiction where the application of such laws would be prohibited or unenforceable, the laws of the jurisdiction where KA Energetics primarily operates shall apply.

We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, either party may proceed with formal dispute resolution.

18.3 Binding Arbitration

If we cannot resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally settled by binding online arbitration.

The arbitration shall be conducted online through a reputable online dispute resolution (ODR) platform mutually agreed upon by the parties, or if no agreement is reached, through an internationally recognized online arbitration service
The arbitration shall be conducted by a single arbitrator
The language of the arbitration shall be English
All hearings and submissions shall be conducted remotely via video conference unless both parties agree otherwise
The arbitrator’s decision shall be final and binding
Judgment on the award may be entered in any court of competent jurisdiction

18.4 Class Action Waiver

YOU AND KA ENERGETICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Unless both you and KA Energetics agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative, class, or collective proceeding.

18.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

18.6 Time Limitation

You agree that any claim or cause of action arising from or related to your use of our Site or Services must be filed within one (1) year after such claim or cause of action arose. Otherwise, such claim or cause of action is permanently barred.
